1. INTRODUCTION

These Terms and Conditions (“Terms”) govern access to and use of the services provided by Konnect Global LLC, a Delaware corporation (“Konnect Global,” “Company,” “we,” “us,” or “our”).

By accessing our website or using our communication services, you agree to be legally bound by these Terms.

If you do not agree, you must not use our services.

2. DESCRIPTION OF SERVICES

Konnect Global provides cloud-based communication services including, but not limited to:

  • VoIP business phone systems
  • Call routing and forwarding
  • SMS and MMS messaging services
  • A2P 10DLC messaging
  • Call recording services
  • CRM and third-party integrations
  • API-based communication services
  • Number provisioning and number porting
  • SIP trunking
  • Virtual phone numbers
  • Cloud PBX services

All services are subject to availability and regulatory requirements.

3. ELIGIBILITY

You must:

  • Be at least 18 years of age
  • Have authority to enter into binding agreements
  • Provide accurate registration information

Business accounts must be created by authorized representatives.

4. ACCOUNT RESPONSIBILITY

You are responsible for:

  • Maintaining secure credentials
  • All activity under your account
  • Promptly notifying us of unauthorized access

Konnect Global is not liable for losses resulting from compromised credentials.

5. ACCEPTABLE USE POLICY

You agree not to use the services for:

  • Illegal, fraudulent, or deceptive activities
  • Robocalling without lawful consent
  • Spam or unauthorized SMS campaigns
  • Violations of the Telephone Consumer Protection Act (TCPA)
  • Violations of the CAN-SPAM Act
  • Violations of FCC regulations
  • Transmission of malware or harmful code
  • Harassment, impersonation, or threats

You must comply with:

  • TCPA
  • FCC regulations
  • CTIA messaging guidelines
  • A2P 10DLC registration requirements
  • State-level telecom regulations

We reserve the right to immediately suspend accounts violating these laws.

6. SMS & A2P 10DLC COMPLIANCE

If you use SMS services:

You represent and warrant that:

  • You have obtained proper express written consent before sending marketing SMS messages
  • You maintain opt-in and opt-out records
  • You comply with A2P 10DLC brand and campaign registration requirements
  • You honor STOP, HELP, and opt-out requests immediately

Konnect Global may:

  • Suspend unregistered campaigns
  • Block high-risk messaging traffic
  • Share compliance data with carriers and regulators

You are solely responsible for SMS content and compliance.

7. CALL RECORDING DISCLOSURE

Certain U.S. states require one-party or all-party consent before recording calls.

If you enable call recording, you agree that:

  • You are solely responsible for compliance with federal and state recording laws
  • You will provide proper disclosures to call participants
  • You will obtain required consent before recording

Konnect Global is not responsible for unlawful recordings conducted by users.

8. E911 & EMERGENCY SERVICES DISCLAIMER

VoIP services differ from traditional landline services.

You acknowledge:

  • E911 may not function during power outages or internet disruptions
  • Emergency services may not work if service is suspended
  • Location data must be properly configured

You are responsible for maintaining accurate E911 registration.

Konnect Global is not liable for failure or delay in emergency call routing.

9. SERVICE LEVEL AGREEMENT (SLA)

Konnect Global aims for 99.9% uptime.

However, uptime does not apply to:

  • Scheduled maintenance
  • Carrier outages
  • Internet provider failures
  • Force majeure events
  • Customer misconfiguration

Service credits, if applicable, are governed by a separate written agreement.

10. NUMBER PORTING & OWNERSHIP

For number porting:

  • You must provide accurate authorization documents
  • Porting timelines depend on third-party carriers
  • We are not liable for carrier delays

Telephone numbers are leased and subject to regulatory authority. They do not constitute property ownership.

11. FEES & BILLING

You agree to:

  • Pay all subscription and usage-based fees
  • Authorize recurring billing
  • Pay applicable taxes

Late payments may result in suspension.

All payments are non-refundable unless required by law or stated otherwise in writing.

12. DATA PROTECTION & SECURITY

We implement reasonable administrative, technical, and physical safeguards.

We may process:

  • Call detail records (CDRs)
  • SMS metadata
  • Account information
  • Call recordings (if enabled)

Customers remain data controllers for customer communications.

13. DATA PROCESSING ADDENDUM (DPA)

For business customers subject to data privacy laws (including GDPR or CCPA):

  • Konnect Global acts as a data processor
  • Customers act as data controllers
  • Processing is limited to service delivery

A separate DPA may be executed upon request.

14. THIRD-PARTY INTEGRATIONS

Our services may integrate with:

  • CRM platforms
  • Payment processors
  • Carrier networks
  • Third-party APIs

We are not liable for third-party failures or API changes.

15. RESELLER TERMS (IF APPLICABLE)

Authorized resellers must:

  • Ensure end-user compliance
  • Pass down regulatory obligations
  • Avoid misrepresentation of services

Resellers remain liable for their downstream users.

16. INTELLECTUAL PROPERTY

All software, trademarks, branding, and materials are owned by Konnect Global.

You may not:

  • Reverse engineer
  • Modify
  • Resell without authorization
  • Republish proprietary materials

17. LIMITATION OF LIABILITY

To the fullest extent permitted under Delaware law:

Konnect Global shall not be liable for:

  • Indirect damages
  • Loss of profits
  • Business interruption
  • Data loss
  • Consequential damages

Total liability shall not exceed the amount paid in the previous three (3) months.

18. INDEMNIFICATION

You agree to indemnify and hold harmless Konnect Global from claims arising from:

  • TCPA violations
  • Illegal robocalling
  • Unauthorized SMS campaigns
  • Failure to obtain recording consent
  • Regulatory violations

19. TERMINATION

We may suspend or terminate accounts for:

  • Legal violations
  • Non-payment
  • Risk exposure to carrier networks
  • Regulatory mandates

Outstanding balances remain payable.

20. FORCE MAJEURE

We are not liable for failures due to:

  • Natural disasters
  • Government actions
  • Carrier outages
  • Cyberattacks
  • Acts beyond reasonable control

21. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved in the courts located in Delaware.

22. ARBITRATION (OPTIONAL – RECOMMENDED)

At our discretion, disputes may be resolved through binding arbitration in Delaware under AAA rules.

23. CHANGES TO TERMS

We may update these Terms at any time.

Continued use constitutes acceptance.
